What is a Security Token?
A security token is a digital asset on a blockchain that represents ownership in a regulated security. Unlike utility tokens, security tokens are subject to securities laws and grant holders rights similar to traditional securities, such as equity ownership, profit sharing, or voting rights.
Security Token vs Utility Token
| Aspect | Security Token | Utility Token |
|---|---|---|
| Regulation | SEC oversight | Generally unregulated |
| Rights | Ownership, dividends | Access to platform/service |
| Trading | Regulated exchanges | DEXs, CEXs |
| Examples | Tokenized stocks, bonds | ETH, UNI, LINK |
The Howey Test
The SEC uses the Howey Test to determine if a token is a security:
- Investment of money
- In a common enterprise
- With expectation of profits
- Derived from efforts of others
If all four criteria are met, the token likely qualifies as a security.
Security Token Standards
