Definition

A junior tranche is a subordinated class in a structured financial product that receives payments after more senior classes and may absorb losses before them under the product payment waterfall.

How payment and losses are allocated

A structured product can divide exposure to the same asset pool into several tranches. Its governing documents specify the order in which interest, principal and losses are allocated. Junior investors usually accept lower payment priority in exchange for access to residual income or a higher expected return.

In a two-tranche pool, the junior tranche may be the first-loss position protecting the senior tranche. In a structure with an equity tranche below it, the junior tranche may absorb losses only after that layer is exhausted.

The product documents control the result

Labels such as junior, mezzanine and equity are not interchangeable across every product. Redemption priority, voting rights, loss allocation and return calculations depend on the legal documents and protocol rules for the specific pool.

What it does not mean

A junior tranche is not automatically the equity tranche or the first-loss position. It means the tranche ranks below another class. Exact risk depends on every layer below and above it.

Questions about junior tranche

Does a junior tranche always absorb the first loss?
No. It may be first loss in a two-tranche structure, but another equity or subordinated class can rank below it.
Why might a junior tranche offer a higher return?
Junior investors accept lower payment priority and greater exposure to losses. The product may compensate through residual income or a higher target return.
Can a junior tranche be represented by a token?
Yes. Some tokenized pools issue separate tokens for different share classes, but the token does not replace the governing legal and financial terms.
